A WOFE’s Legal Representative, is the person(individual) appointed by shareholder(investor) and executes the power of civil obligations in the name of the WOFE. Generally, a WOFE’s legal representative can be the Executive Director/Director/Manager/CEO of the WOFE. The legal representative’s name is registered in the Licenses/Certificates of a WOFE.
 
2. Rights and Obligations of Legal Representative:
A legal representative can execute the power, fulfil obligations and participate business activities on behalf of the WOFE within the Laws, obligations and articles of incorporation of the WOFE.
A legal representative can also entrust some other people act on his/her behalf. To act on a legal representative’s behalf the entrusted individual should have the power of attorney from the legal representative.
A legal representative can sign legal papers on the capacity of the position.
A legal representative is responsible for the WOFE’s business activities. In external relations, a legal representative’s act is the WOFE or the company’s act. The relationship between a legal representative and a WOFE is representing relation not agency relation.

If the shareholder(investor) of a WOFE is an individual, the best approach is to be the Legal Representative himself/herself. However, if the shareholder(investor) is a big international group, the best approach is to appoint someone who knows Chinese culture well.
